The following terms of use describes the practices of Ouça.Lá as referred to as “Ouça.Lá”, “Ouça Lá”, “we”, “us”, “our” and the online services on the Ouça.Lá.com website (referred to as “Services”, “Service”). These terms of use govern your use of the websites, ouca.la and oucala.za.mus.br. By using the websites, you accept these terms of use in full. If you disagree with these terms of use or any part of these terms of use, you must not use the websites. The websites may use cookies. By using the websites and agreeing to these terms of use, you consent to Ouça.Lá’s use of cookies in accordance with the terms of Ouça.Lá’s privacy policy.

License to use the websites

Unless otherwise stated, Ouça.Lá own the intellectual property rights in the website and material on the website. Subject to the license below, all these intellectual property rights are reserved.

You may view, download for caching purposes only, and print pages from the website for your own personal use, subject to the restrictions set out below and elsewhere in these terms of use.

You must not

• Sell, rent or sub-license material from the website;

Acceptable use

You must not use the websites to transmit or send unsolicited commercial communications.

Restricted access

Access to certain areas of the websites is restricted. Ouça.Lá reserves the right to restrict access to areas of the websites, or indeed this entire website, at Ouça.Lá”s discretion.

If Ouça.Lá provides you with a user ID and password to enable you to access restricted areas of the websites or other content or services, you must ensure that the user ID and password are kept confidential.

Ouça.Lá may disable your user ID and password in Ouça.Lá’s sole discretion without notice or explanation.

User content

In these terms of use, “your user content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to the websites, for whatever purpose.

Your user content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or Ouça.Lá or a third party (in each case under any applicable law).

Ouça.Lá reserves the right to edit or remove any material submitted to the websites, or stored on Ouça.Lá’s servers, or hosted or published upon the websites.

Notwithstanding Ouça.Lá’s rights under these terms of use in relation to user content, Ouça.Lá does not undertake to monitor the submission of such content to, or the publication of such content on, the websites.

No warranties

The websites is provided “as is” without any representations or warranties, express or implied. Ouça.Lá makes no representations or warranties in relation to the websites or the information and materials provided on the websites.

Without prejudice to the generality of the foregoing paragraph, Ouça.Lá does not warrant that:

• The websites will be constantly available, or available at all; or
• Fraud or fraudulent misrepresentation on the part of Ouça.Lá; or matter which it would be illegal or unlawful for Ouça.Lá to exclude or limit, or to attempt or purport to exclude or limit, its liability.

Nothing on the websites constitutes, or is meant to constitute, advice of any kind. If you require advice in relation to any legal matter you should consult an appropriate professional.

Exceptions

Nothing in the websites disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in the websites disclaimer will exclude or limit Ouça.Lá’s liability in respect of any:

• Death or personal injury caused by Ouça.Lá’s negligence;
• The information on the websites is complete, true, accurate or non-misleading.

Reasonableness

By using the websites, you agree that the exclusions and limitations of liability set out in the websites disclaimer are reasonable.

If you do not think they are reasonable, you must not use the websites.

Other parties

You accept that, as a limited liability entity, Ouça.Lá has an interest in limiting the personal liability of its officers and employees. You agree that you will not bring any claim personally against Ouça.Lá’s officers or employees in respect of any losses you suffer in connection with the website.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in the websites disclaimer will protect Ouça.Lá’s officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as Ouça.Lá.

Unenforceable provisions

If any provision of the websites disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of the websites disclaimer.

Indemnity

You hereby indemnify Ouça.Lá and undertake to keep Ouça.Lá indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by Ouça.Lá to a third party in settlement of a claim or dispute on the advice of Ouça.Lá’s legal advisers) incurred or suffered by Ouça.Lá arising out of any breach by you of any provision of these terms of use, or arising out of any claim that you have breached any provision of these terms of use.

Variation

Ouça.Lá may revise these terms of use from time-to-time. Revised terms of use will apply to the use of the websites from the date of the publication of the revised terms of use on the websites. Please check this page regularly to ensure you are familiar with the current version.

Entire agreement

These terms of use, together with the privacy policy, constitute the entire agreement between you and Ouça.Lá in relation to your use of the websites, and supersede all previous agreements in respect of your use of the websites.

Law and jurisdiction

These terms of use will be governed by and construed in accordance with Brazilian Law, and any disputes relating to these terms of use will be subject to the exclusive jurisdiction of the courts of Brazil.
